AFFILIATE PROGRAM AGREEMENT

PRICING DISCLAIMER
All product prices and commission rates referenced in this Agreement are based on current pricing and are subject to change. The Company will provide written confirmation of applicable pricing and commission structures upon agreement execution. Contact hello@vatalia.com for the most current program details.
1. DEFINITIONS
1.1 "Living Art" means Company's premium wall-mounted living art system featuring interchangeable Canvases and living botanicals.
1.2 "Commission" means the amount payable to Affiliate for each Qualified Purchase.
1.3 "Qualified Purchase" means a completed and paid purchase of a Living Art system by a customer who accessed Company's website through Affiliate's Tracking Link within the Tracking Period, and/or:
(a) enters an Affiliate's Discount Code to make a purchase.
1.4 "Tracking Link" means the unique URL provided to Affiliate to track referrals to Company's website.
1.5 "Discount Code" means the unique discount amount that the Affiliate is offering to a prospective collector.
1.6 "Tracking Period" means the 90-day period following a potential customer's click on Affiliate's Tracking Link.
(a) In the case of an Affiliate renewal agreement not being fully executed by the end of the agreement duration, there is a 30-day grace period where the Tracking Link, Discount Codes, and payable Commissions will be honored for Affiliates as long as the Affiliate agreement has not been terminated.
2. APPOINTMENT
2.1 Company appoints Affiliate as a non-exclusive marketing affiliate for the Living Art product line.
2.2 Affiliate may promote Living Art through Affiliate's websites, social media, email marketing, and other channels approved by Company.
(a) Affiliates who host live learning webinars must obtain prior approval for webinar content and must invite a Company representative to be present.
(b) Affiliate owns their own lead generation process and cultivated leads and will be awarded Commission when leads place orders using their Tracking Link and Discount Codes.
(c) If a designated Affiliate lead(s) purchases without using the Tracking Link and Discount Codes, contact the Company to settle these discrepancies within 10 business days from paid Commission date.
2.3 Affiliate may not bid on Company's trademarked terms in search engine advertising without prior written authorization.
3. COMMISSION
3.1 Company will pay Affiliate Commission based on the following structure (based on $3,000 Bespoke MSRP):
(a) $300 Commission at full product price
(b) $250 Commission with a $50 discount price
(c) $200 Commission with a $100 discount price
(d) $150 Commission with a $150 discount price
(e) $100 Commission with a $200 discount price
(f) $50 Commission with a $250 discount price
3.2 Affiliate will receive a one-time $50 bonus upon Affiliate's first Qualified Purchase.
3.3 Commission only applies to the sale of a Living Art system and does not include Canvases, seed collections, and other accessories or add-on items.
3.4 The above commission structure does not take into account existing or future Company-issued promotional codes, which are valid as long as they are used within their original parameters and cannot be combined with (stacked on top of) any negotiated price reduction.
3.5 Vatalia is only able to sell within the United States.
3.6 Affiliate's Ability to Negotiate Price:
(a) Affiliate can negotiate the Living Art system price down to $2,750 in increments of $50 (see Section 3.1 above).
(b) Price reduction, if required, is preferred when multiple Living Art systems are being discussed with a prospective collector.
(c) Reduced sale price means a reduction in total payable Commission per the Affiliate Commission schedule listed in Section 3.1 above.
(d) Company will provide the Affiliate with the necessary unique promotional code(s) customized for themselves and/or their organization.
(e) Affiliate should track and report monthly on the number of unique promotional codes offered to prospective Living Art collectors to assist in price point conversion analysis.
3.7 No Commission or bonuses will be paid for any purchases that are subsequently returned, refunded, or charged back.
(a) There is a claw-back period for payable Commission and bonuses of 90 days from delivery date, per shipping carrier's tracking information.
3.8 Company reserves the right to modify the Commission structure with 30 days' advance written notice.
4. TRACKING AND REPORTING
4.1 Company will track Qualified Purchases through Affiliate's Tracking Link and/or Discount Code during the Tracking Period.
4.2 Company will provide Affiliate with access to an online dashboard showing clicks, conversions, and Commissions for known prospects.
4.3 Affiliate is responsible for maintaining current contact and payment information in the affiliate portal.
5. PAYMENT TERMS
5.1 Company will calculate Commissions on a monthly basis.
5.2 Company will pay Commissions for all Qualified Purchases within 15 days after the end of each month in which the aggregate unpaid Commission exceeds $100.
5.3 If unpaid Commissions are below $100, they will roll over to the next month until the $100 threshold is reached and/or will be paid at the conclusion of the Affiliate Program duration period.
5.4 Payments will be made by electronic transfer to the account designated by Affiliate.
6. PROMOTIONAL MATERIALS
6.1 Company will provide Affiliate with marketing materials, including product images, descriptions, and suggested copy.
6.2 Company may provide templates for blog posts, social media content, and promotional emails.
6.3 Affiliate may not modify marketing materials without Company's prior written approval.
(a) Existing Company-branded marketing materials ready for individual Affiliate tracking information will be available.
(b) No alteration is permitted and usage must comply with brand guidelines.
(c) The Company grants a limited license for the Affiliate to use the Company's trademarks, logos, and copyrighted promotional materials solely for the purpose of this Agreement.
7. SUPPORT RESOURCES
7.1 Company will provide:
(a) Exclusive "behind the scenes" content about Living Art design and features
(b) Access to customer testimonials and product success stories
(c) Templates for marketing content
(d) Affiliate community forum for sharing tips
(e) Monthly newsletter with program updates and selling tips
8. TERM AND TERMINATION
8.1 This Agreement commences on the date of acceptance and continues until December 31, 2025.
(a) This Agreement shall automatically terminate on December 31, 2025, unless renewed by mutual written agreement of both parties prior to the end of 2025 for the 2026 Affiliate year.
8.2 Either party may terminate this Agreement at any time with 30 days' written notice to the other party.
8.3 Company may immediately terminate this Agreement if Affiliate violates any terms of this Agreement.
8.4 Upon termination, Company will pay any outstanding Commissions according to the regular payment schedule. There is a 30-day grace period where the Tracking Link and payable Commissions will be honored for individuals who have previously entered into the ecosystem, as long as the Affiliate is in good standing.
9. REPRESENTATIONS AND WARRANTIES
9.1 Affiliate represents and warrants that:
(a) All information provided to Company is accurate and complete
(b) Affiliate will comply with all applicable laws and regulations
(c) Affiliate will not engage in deceptive or misleading marketing practices
(d) Affiliate will clearly disclose its affiliate relationship with Company in accordance with FTC guidelines
10. CONFIDENTIALITY
10.1 Affiliate will keep Company's confidential information secret and use it only to perform this Agreement.
10.2 Confidential information includes, but is not limited to, Commission rates, sales data, and marketing strategies.
10.3 This obligation survives termination of this Agreement.
11. LIMITATION OF LIABILITY
11.1 Neither party shall be liable for any indirect, special, incidental, or consequential damages.
11.2 Company's total liability under this Agreement shall not exceed the total Commission paid to Affiliate in the 12 months preceding the claim.
12. RELATIONSHIP OF PARTIES
12.1 Affiliate is an independent contractor and not an employee, agent, partner, or joint venturer of Company.
12.2 Affiliate has no authority to bind Company to any agreement or make representations on Company's behalf.
13. INDEMNIFICATION
Affiliate will indemnify and hold harmless Company from any claims arising from Affiliate's breach of this Agreement or violation of applicable laws.
14. NOTICES
All notices under this Agreement must be in writing and sent by certified mail or email (with read receipt) to:

15. GOVERNING LAW
This Agreement is governed by Illinois law. Venue lies in Sangamon County, Illinois.
16. ENTIRE AGREEMENT
This Agreement is the entire agreement between the parties and supersedes all prior discussions relating to its subject matter.
17. MODIFICATION
Company may modify this Agreement at any time by providing 30 days' notice. Affiliate's affirmative acceptance (email confirmation, click-through) for material changes to the agreement is required and/or continued participation in the program after the notice period constitutes acceptance of the changes.
